By installing the StudioWorks software, you have agreed to the following SOFTWARE LICENSE AGREEMENT 1. License M&M Studio hereby grants you, upon your acceptance of these terms and conditions, the following non-exclusive rights to use StudioWorks (hereafter refereed to as software) a. You may make backup copies of the Software for safekeeping, provided that you reproduce all copyright notices and other proprietary notices on each copy made. Except as stated above, you may not copy the Software, or transfer the Software or the registration key to others, and any unauthorized copying or transfer shall automatically terminate your license. 2. Copyright The Software is copyrighted by M&M Studio. 3. Limited Warranty on Media and Documentation M&M Studio warrants the media and documentation to be free from defects in materials and workmanship under normal use for a period of ninety (90) days from the date of original purchase. During this period, M&M Studio will replace at no cost any such defective media or documentation returned to M&M Studio. This is your sole remedy in the event of such defect(s). No dealer or other party is authorized to make any modification, extension, or addition to this warranty on behalf of M&M Studio, either verbally or in writing. 4. Limitations on Warranty and Liability You accept the entire risk as to the quality, selection, and performance of the Software. The Software is sold "as is". No representation is made or implied that the function or performance of the Software will meet your requirements. It is your responsibility to ascertain that the Software is suitable for your purposes. While every effort is made to provide functional and productive software, no warranty is made that the Software will operate in an entirely error-free manner. If you have any problem with the Software, you assume the entire cost of all necessary servicing, repair, or correction, and any incidental or consequential damages, except for the limited warranty provided above. THE WARRANTIES EXPRESSED IN THIS AGREEMENT ARE THE ONLY WARRANTIES MADE BY M&M STUDIO, AND ARE IN LIEU OF ALL OTHER WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND OF FITNESS FOR A PARTICULAR PURPOSE. M&M Studio is not obligated to deliver any installation, support, or other services to you under this Agreement. Some states do not allow the exclusion or limitation of implied warranties or liability for incidental or consequential damages, so the above limitations may not apply to you. 5. Term This license is effective for the useful life of the Software. However, this license will immediately terminate if you fail to comply with any material term or condition of this Agreement. Upon termination you must destroy all copies of the Software. This license is not transferable without the express, written consent of M&M Studio. 6. Arbitration Any disputes between you and M&M Studio arising out of or related to your use or purchase of the Software, this Software License Agreement, or pertaining to any products or services subsequently provided by M&M Studio, its agents, employees, or representatives, in conjunction with the preceding, shall be resolved by submission to binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be held in Franklin County, Pennsylvania, regardless of where your principal office is located, or where the problems or disputes arose. The non-prevailing party in the arbitration shall bear all expenses related to the arbitration proceeding, including costs, expenses, and reasonable attorney's fees. Judgment upon the award may be entered in any court of competent jurisdiction. 7. General Disassembly and/or decompilation of the Software is prohibited. Attempting to supersede the 30 day trial period is prohibited. The performance and construction of this Agreement is governed by the laws of the State of Pennsylvania, except for those laws pertaining to choice of law. This is the complete and exclusive agreement between you and M&M Studio, and this Agreement supersedes any prior agreements or understandings, oral or written, with respect to the subject matter of this Agreement. This Agreement may not be modified except by further written agreement signed by both parties.
